# Data licensing

In short

Data licensing is the agreement that governs how you may use data you obtain from a provider. You usually do not buy the data outright. You receive a license that defines what you can do with it, for how long, and under what restrictions.

For GTM teams this applies to B2B contact and company databases, enrichment APIs, and intent feeds. Terms vary widely between vendors, so the contract matters as much as the data. This page is general information and not legal advice; have counsel review real agreements.

## What a data license typically defines

* **Permitted use:** Internal sales and marketing use only, or also resale or inclusion in a product.
* **Term:** How long you may use the data, and what happens to it at termination.
* **Volume and seats:** Limits on records, credits, API calls, or users.
* **Redistribution:** Whether you may share or sell the data to third parties.
* **Storage:** Whether you may keep data in your CRM after the contract ends.
* **Compliance:** Who is responsible for lawful collection and for honoring opt-outs under privacy laws.

---

## Questions to ask before you sign

### About your rights

Can your whole team use it? Can you export it? Do you keep enriched fields in your CRM if you cancel?

### About the data

Where does the data come from, how is it kept current, and how are individuals able to opt out or request deletion?

### About liability

Who is responsible if the data was collected unlawfully? What warranties and indemnities does the vendor offer?

---

## Example

Say a company licenses a contact database for outbound prospecting. The agreement allows internal use only. Later the team wants to embed company records in a customer-facing product. That is a different use, so it needs a new or amended license. Checking the terms first avoids a breach.

---

## Common mistakes

* **Assuming you own the data:** Most licenses grant use rights, not ownership.
* **Ignoring termination clauses:** Some require deletion of data when the contract ends.
* **Overlooking use limits:** Using data outside the permitted purpose can breach the license.
* **Skipping provenance questions:** Weak sourcing creates compliance risk for you as well as the vendor.

## Data licensing FAQs

**What is data licensing?**

Data licensing is a legal agreement in which a provider gives you the right to use its data for defined purposes, within limits on use, term, and sharing. You typically receive use rights rather than ownership of the data.

**What should a B2B data license agreement include?**

It should define permitted use, contract term, volume limits, redistribution rights, storage after termination, compliance responsibilities, and liability. Have a qualified lawyer review the terms. This is general information, not legal advice.

**Can you keep licensed data after the contract ends?**

It depends on the agreement. Some licenses let you keep data already delivered, while others require deletion at termination. Read the termination and storage clauses before you sign, and ask the vendor in writing.

**What is the difference between data licensing and data privacy?**

Data licensing covers contractual rights to use a dataset. Data privacy covers legal rules on how personal information is collected and processed. Both apply to B2B contact data, and a license does not remove your privacy obligations.
